How much does a virtual data room cost in 2026? Per-seat vs flat pricing, with real numbers

Data room costs depend more on the pricing model than on features. Here's how per-seat, per-page, enterprise and flat-rate pricing compare in 2026, with real prices.

A virtual data room costs anywhere from $0 to several thousand dollars a month. What decides the bill is the pricing model, not the features:

  • Per-seat tools charge for every person on your side, every month.
  • Per-page or data-volume tools charge for how much you store.
  • Enterprise VDRs quote a price per project after a sales call.
  • Flat-rate tools charge one monthly price, with your team included.

The same deal can cost very different amounts under each model. For a small team running one raise or one sale, flat-rate is usually the cheapest. For a bank running a large auction, enterprise is often what the process demands.

Per-seat pricing: cheap for 1, expensive for 5

Per-seat looks cheap on the pricing page. It grows with your team. Viewers like investors or buyers are usually free; you pay for the people managing the room.

Take DocSend, the best-known one. At list prices checked on 28 October 2026:

  • Standard, for sharing and tracking, is $30 per user a month billed yearly ($43 a month). It has no data rooms.
  • Data rooms start on Advanced: $150 a month for 3 users billed yearly, or $250 a month to month.
  • Watermarks and NDAs come with Advanced too.

One founder sending a deck? $30 a month. A team running a data room? At least $150 a month, paid for a year up front, or $250 month to month.

Others work the same way. ShareFile's Virtual Data Room plan is listed at $77.00 or $69.30 per user a month, depending on billing, with a 5-user minimum. Peony charges $44 per admin a month on its Business plan billed monthly, with free viewers.

Watch out for: the cost goes up every time you add a colleague, an advisor or a lawyer.

Per-page or data-volume pricing

Older data rooms charged per page uploaded. Many now charge by gigabytes or by data volume over a contract.

Ansarada says it prices mainly on data volume, and that extra data is charged for the rest of your contracted term. Firmex prices a single project on data requirements and project length.

Watch out for: the bill can grow in the middle of a deal. Diligence always turns up more documents than you planned for, and you rarely see that cost until it arrives.

Enterprise VDRs: priced per project

Datasite, Intralinks, iDeals, Imprima and DealRoom mostly don't publish prices. You get a quote. It usually depends on page count, storage, how long the room is open, and how many people use it.

They're built for large deals with big teams and strict requirements. For a $500M auction, that's often worth it. For a seed round or a lower-middle-market sale, it's usually more than you need, and you can't compare prices until you've spoken to sales.

Flat-rate: one price, team included

Flat-rate tools charge the same every month, whoever joins, within the plan's limits. SecureDocs is $250 a month on a 12-month plan or $400 a month on a 3-month plan, with unlimited users and documents. Onehub's Data Room Edition is $375 a month billed monthly. CapLinked's Team plan is $399 a month.

That's also how I priced TalkOctopus:

  • Free: share documents with page-level analytics.
  • Founder, $49 a month: watermarks and NDA gates.
  • Room, $149 a month: one live data room, 5 people included.
  • Deal, $299 a month: 3 rooms at once, 10 people.
  • Desk, $699 a month: 10 rooms, 25 people.

Watch out for: plan limits on rooms, people or storage, and long commitments for the cheapest rate.

A worked example: a 6-month raise

Say you're raising a Series A. You, a co-founder and a CFO run the data room for 6 months, month to month.

  • DocSend Advanced: $250 a month for 3 users, so $1,500 over 6 months.
  • TalkOctopus Room: $149 a month with 5 people included, so $894 over 6 months.

That's $606 apart. Billed yearly, DocSend Advanced is $1,800 for the year, even if the round closes in 6 months.

Now add a lawyer and an accountant for the last 3 months. On a per-seat plan, that's more seats or a bigger plan. On a flat plan with 5 people included, the bill doesn't move.

Hidden costs to look for

These are the charges people often discover mid-deal:

  • Overage fees for data or pages beyond your plan.
  • Minimum users, like a 5-user minimum when your team is 3.
  • Features on higher plans. Watermarks, NDAs, Q&A or audit logs often aren't on the cheapest tier.
  • Long commitments. The best monthly rate often needs a 12-month contract, even for a 4-month deal.
  • Extension fees if the deal runs longer than planned.
  • Archive fees to keep a read-only copy after closing.

What to check before you pay

  1. Is the price published, or do you need a sales call?
  2. What exactly am I paying for: users, pages, data or a flat rate?
  3. What happens to the bill when someone joins, or when we add 1,000 pages halfway through?
  4. Are watermarks, NDAs, Q&A and the audit log included, or on a higher tier?
  5. Do the people viewing the room need to pay? (They shouldn't.)
  6. What's the minimum commitment, and can I turn it off the day the deal closes?
  7. Can I export the whole room when it's done, and is that included?

Quick answers

What does a data room cost for a startup? Between $0 and about $150 a month for most seed and Series A rooms, if you avoid per-project pricing.

Why are enterprise data rooms so expensive? They're priced per project, with support, compliance, and large teams built in.

Do investors have to pay to view? Not on any of the tools above. Viewers are free.

Work out your own number

I made a free data room cost calculator that does this math for your own team size, deal length and document count. If you're still choosing a vendor, the comparison of 15 data rooms lists each one's published pricing.

Disclosure: I built TalkOctopus, so I've kept to published prices; you can check. Prices change, so confirm them on each vendor's site.
