Data rooms and document analytics, defined

Plain definitions of the terms behind secure document sharing and virtual data rooms.

Virtual data room (VDR)
A secure online space for sharing confidential documents during a deal, with access control, tracking, and an audit trail. Learn more
Deal room
A virtual data room organized around a single transaction, where each party gets controlled access to the relevant documents. Learn more
Document analytics
Data about how a shared document is read: who opened it, which pages they viewed, and how long they spent.
Page-level analytics
Engagement measured for each page of a document, including time spent, completion, and drop-off, rather than a single open receipt.
Engagement score
A single number, often 0 to 100, that summarizes how thoroughly a viewer read a document.
Completion rate
The share of viewers who reached the last page of a document.
Drop-off
The page where readers stop, which shows where a document loses attention.
Return visit
A repeat open of a shared document by the same viewer, often a signal of active interest.
Dynamic watermarking
Stamping each page with the viewer's identity, such as their email, so a leaked file traces back to a person.
NDA gate
A confidentiality agreement a viewer must accept before a document opens, with the acceptance logged.
Audit log
A record of every important action on a document or room, such as opens, downloads, and access changes.
View-only access
Permission to read a document on screen without downloading or printing it.
